Terms of Service

1. Acceptance of Terms

By accessing and using CrewCommand (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

CrewCommand is a Software-as-a-Service (SaaS) platform designed to help service businesses manage scheduling, dispatching, customer communications, invoicing, and related business operations. The Service is provided on an "as-is" and "as-available" basis.

3. Account Registration & Tenant Accounts

To use CrewCommand, you must create a user account. You represent and warrant that:

  • All information you provide is accurate and complete
  • You are at least 18 years old and of legal age
  • You have the authority to enter into this agreement on behalf of your organization (the "Tenant")
  • You will not use the Service for any illegal or unauthorized purpose

Each Tenant may have multiple team members (users) with different roles and permissions. As the account holder, you are responsible for all activity under your Tenant account.

4. Subscription Plans & Billing

4.1 Pricing Tiers

CrewCommand offers three subscription tiers (all pricing in Canadian dollars, CAD):

  • Core: $69/month (monthly) or $59/month (annual billing) — up to 3 team members
  • Growth: $179/month (monthly) or $149/month (annual billing) — up to 5 team members
  • Scale: $310/month (monthly) or $285/month (annual billing) — 8 included team members, plus $25/month for each additional member

4.2 Billing Cycle & Payment

Billing cycles are either monthly or annual based on your chosen plan. Payment is processed automatically on your billing date via Stripe. You authorize us to charge your payment method for all fees and charges. All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable Harmonized Sales Tax (HST) or other taxes.

4.3 Auto-Renewal & Cancellation

Your subscription will automatically renew at the end of each billing cycle unless you cancel. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months or unused portions of your subscription.

4.4 Overage Charges (Scale Plan)

If you exceed the included number of team members on the Scale plan (8), you will be charged $25 CAD per month for each additional team member, prorated to your next billing date.

4.5 Price Changes

We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at your next billing cycle. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. Acceptable Use Policy

You agree not to use CrewCommand for any unlawful or malicious purpose, including:

  • Harassing, abusing, or threatening other users
  • Distributing spam, malware, or harmful code
  • Accessing or attempting to access the Service through unauthorized means
  • Reverse engineering, decompiling, or attempting to derive the source code
  • Exceeding reasonable use limits or attempting to disrupt service availability
  • Collecting or aggregating data about other users without consent
  • Violating any applicable laws or regulations

We reserve the right to suspend or terminate your account if you violate this policy.

6. Intellectual Property

CrewCommand and all of its contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, designs, and graphics) are owned by CrewCommand, its licensors, or other providers of such material and are protected by Canadian copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes. You may not reproduce, modify, distribute, or transmit any content from the Service without our prior written consent.

7. Data Ownership & Your Content

You retain all ownership rights to any data, documents, customer information, job details, invoices, and other content you upload, create, or input into CrewCommand (collectively, "Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely to provide, maintain, and improve the Service.

We do not own, control, or endorse any of Your Content. You are responsible for the accuracy, legality, and appropriateness of all Your Content. You agree not to store any sensitive personal information (such as social security numbers, credit card details, or health records) in CrewCommand except as necessary for service delivery.

8. Third-Party Integrations

CrewCommand integrates with or uses services provided by third parties, including:

  • Stripe: Payment processing (credit cards, bank transfers). See Stripe's terms and privacy policy for payment data handling.
  • QuickBooks Online: Accounting integration. If you connect your QB account, your QB data use is governed by both this agreement and the QuickBooks Data Use Addendum.
  • Resend: Email delivery for transactional and marketing emails.
  • Supabase: Database and authentication infrastructure.
  • Inngest: Background job and automation processing.

Your use of these third-party services is also governed by their respective terms of service and privacy policies. We are not responsible for third-party services or their practices.

9. Confidentiality

Each party (the "Receiving Party") understands that during the course of this engagement, it may receive confidential and proprietary information (the "Confidential Information") from the other party (the "Disclosing Party"). The Receiving Party agrees to keep the Confidential Information confidential and not disclose it to any third parties without the Disclosing Party's prior written consent, except as required by law or court order.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWCOMMAND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CREWCOMMAND'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO CREWCOMMAND IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless CrewCommand and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of this agreement or applicable laws
  • Your Content and any claims that Your Content infringes third-party rights
  • Your violation of the Acceptable Use Policy

12. Termination

We may terminate or suspend your account and access to the Service at any time, for any reason, with or without notice, including if you violate any provision of this agreement. Upon termination, all rights granted to you hereunder cease immediately. You remain responsible for all charges incurred up to the date of termination.

You may terminate your account at any time by canceling your subscription through your account settings. Upon account termination, we will delete or anonymize Your Content according to our Data Retention Policy (see our Privacy Policy).

13. Governing Law & Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to its conflict of law provisions. Both parties agree to submit to the exclusive jurisdiction of the courts located in Ontario.

Before initiating any legal proceedings, the parties agree to attempt informal resolution of any disputes. If informal resolution fails, disputes shall be resolved exclusively in the courts of Ontario.

14. Changes to This Agreement

We reserve the right to modify this agreement at any time. Material changes will be announced via email or a prominent notice on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the modified terms. If you do not agree to any changes, you may discontinue your use of the Service.
